The Office of University Counsel (OUC) is responsible for managing the legal affairs of the University including advising the schools and divisions on legal issues. OUC coordinates the delivery of all legal services for Tufts University. The Office provides advice and support to the Tufts’ administrative and academic personnel on a broad range of matters, including employee relations, real estate transactions, contracts, litigation and policy development. The Office also coordinates the selection and supervision of outside law firms.
The Assistant General Counsel represents the legal interests of the University by providing a range of legal services in the area of business and transactional law. Supports the Office of the Vice Provost for Research (OVPR) by providing a range of legal services related to intellectual property matters and advises Technology Transfer staff of the OVPR ensuring Tufts’ legal interests are protected and liability is managed professionally.
Specifically, the Assistant General Counsel:
- Advises on daily handling of legal matters involving assigned areas of responsibility.
- Conducts legal research and writes legal memoranda on applicable laws.
- Negotiates and drafts agreements, including, but not limited to, patent and software license agreements, sponsored research agreements, collaboration agreements, clinical trial agreements, data use agreements, material transfer agreements, non‑disclosure agreements, service agreements, and memoranda of understanding.
- Drafts policies and guidelines for the OVPR and the University.
- Develops and oversees standing operating procedures for the agreements listed above for the OVPR and across the University.
- Advises on protecting the University’s intellectual property, including patents, copyrights and trademarks.
- Provides additional assistance on legal matters across the University.
- Juris Doctor.
- Knowledge and skill as typically acquired through 5-plus years of experience in relevant areas of law.
- License to practice law in Massachusetts or eligible for admission to the Massachusetts Bar.
- Ability to work independently, within the parameters of specific and general assignments, and to bring intellect and legal training to bear in analyzing and discussing complex legal issues.
- Computer proficiency in preparing agreements and other documents.
- Excellent interpersonal and communication skills; excellent professional judgment and discretion; ability to work as part of a team.
Special Work Schedule Requirements:
Ability to travel as needed, domestically and internationally, on behalf of the University. Ability to attend meetings on all three campuses.
